Vendor Space\u003c\/h2\u003e\n\u003cp\u003eVendor space is assigned by the Organizer based on the event layout, operational needs, and the overall experience of \u003cstrong\u003eTCG Village #7\u003c\/strong\u003e.\u003c\/p\u003e\n\u003ch3\u003eIndoor Vendors\u003c\/h3\u003e\n\u003cp class=\"isSelectedEnd\"\u003e\u003cspan\u003eEach Vendor will receive one \u003c\/span\u003e\u003cstrong\u003e\u003cspan\u003e16 ft × 4 ft\u003c\/span\u003e\u003c\/strong\u003e\u003cspan\u003e booth space.\u003c\/span\u003e\u003c\/p\u003e\n\u003cp class=\"isSelectedEnd\"\u003e\u003cspan\u003eThe participation fee for a standard vendor booth is \u003c\/span\u003e\u003cstrong\u003e\u003cspan\u003e$350.00\u003c\/span\u003e\u003c\/strong\u003e\u003cspan\u003e.\u003c\/span\u003e\u003c\/p\u003e\n\u003cp class=\"isSelectedEnd\"\u003e\u003cspan\u003eReasonable placement requests are welcome and will be accommodated whenever possible but cannot be guaranteed.\u003c\/span\u003e\u003c\/p\u003e\n\u003cp\u003e\u003cspan\u003eAny request for additional space must be approved before payment is submitted and may require an additional fee.\u003c\/span\u003e\u003c\/p\u003e\n\u003ch3\u003eBooth Sharing\u003c\/h3\u003e\n\u003cp\u003eVendor spaces are intended for use by a single approved Vendor.\u003c\/p\u003e\n\u003cp\u003eIf a Vendor wishes to share their space or divide the cost of a booth with another business or vendor, prior written approval from the Organizer is required. Each participating business must be identified during the application process and approved before \u003cstrong\u003eTCG Village #7\u003c\/strong\u003e.\u003c\/p\u003e\n\u003cp\u003eThe Organizer reserves the right to approve or deny booth-sharing requests at its sole discretion based on event layout, vendor mix, and operational considerations.\u003c\/p\u003e\n\u003cp\u003eAny unapproved sharing, subleasing, transferring, or reassignment of vendor space may result in removal from \u003cstrong\u003eTCG Village #7\u003c\/strong\u003e without refund.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch2\u003e2. Event Hours\u003c\/h2\u003e\n\u003cp\u003eVendor operating hours will be communicated before \u003cstrong\u003eTCG Village #7\u003c\/strong\u003e.\u003c\/p\u003e\n\u003cp\u003eUnless otherwise approved by the Organizer, Vendors are expected to remain open and staffed throughout the public operating hours of the event.\u003c\/p\u003e\n\u003cp\u003eLeaving early without prior approval may affect eligibility for future TCG Village events.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch2\u003e3. Setup \u0026amp; Breakdown\u003c\/h2\u003e\n\u003cp\u003eSpecific arrival, setup, and breakdown instructions will be provided before \u003cstrong\u003eTCG Village #7\u003c\/strong\u003e.\u003c\/p\u003e\n\u003cp\u003eVendors are responsible for arriving on time, unloading efficiently, and completing setup before the event opens to the public.\u003c\/p\u003e\n\u003cp\u003eEarly breakdown is not permitted unless approved by the Organizer or required due to safety concerns.\u003c\/p\u003e\n\u003cp\u003eAt the conclusion of \u003cstrong\u003eTCG Village #7\u003c\/strong\u003e, Vendors are responsible for removing all merchandise, displays, equipment, trash, and personal property from their assigned space.\u003c\/p\u003e\n\u003cp\u003eEach Vendor is expected to leave their space clean and free of debris.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch2\u003e4. Equipment \u0026amp; Utilities\u003c\/h2\u003e\n\u003cp\u003eVendors are responsible for providing all equipment necessary to operate their booth, including tables, chairs, shelving, display fixtures, table coverings, lighting, extension cords, and any other materials needed for their setup.\u003c\/p\u003e\n\u003cp\u003eElectrical service may be available but is not guaranteed unless confirmed in writing before \u003cstrong\u003eTCG Village #7\u003c\/strong\u003e.\u003c\/p\u003e\n\u003cp\u003eIf electrical access is required, the Vendor must notify the Organizer before submitting payment to confirm availability.\u003c\/p\u003e\n\u003cp\u003eThe Organizer is not responsible for equipment failure, power interruptions, internet availability, or utility limitations.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch2\u003e5. General Vendor Requirements\u003c\/h2\u003e\n\u003cp\u003eEach Vendor is solely responsible for complying with all applicable federal, state, and local laws, regulations, permits, licenses, tax requirements, and business obligations applicable to their operations.\u003c\/p\u003e\n\u003cp\u003eThe Vendor is solely responsible for collecting and remitting any applicable sales taxes and complying with all business licensing requirements.\u003c\/p\u003e\n\u003cp\u003eThe Organizer may request proof of applicable licenses, permits, tax registrations, or other documentation before confirming participation or at any time before or during \u003cstrong\u003eTCG Village #7\u003c\/strong\u003e.\u003c\/p\u003e\n\u003cp\u003eThe Organizer reserves the right to remove any Vendor found to be operating in violation of applicable laws or regulations without refund.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch2\u003e6. Displays \u0026amp; Booth Appearance\u003c\/h2\u003e\n\u003cp\u003eVendors are encouraged to present a clean, organized, and professional booth that enhances the overall experience of \u003cstrong\u003eTCG Village #7\u003c\/strong\u003e.\u003c\/p\u003e\n\u003cp\u003eDisplays must remain entirely within the assigned vendor space unless otherwise approved.\u003c\/p\u003e\n\u003cp\u003eNothing may be attached to walls, windows, doors, ceilings, floors, or other building surfaces without prior approval.\u003c\/p\u003e\n\u003cp\u003eDisplays may not obstruct walkways, emergency exits, neighboring vendors, or common areas.\u003c\/p\u003e\n\u003cp\u003eMusic, demonstrations, lighting, and promotional activities must remain at a reasonable level and may not interfere with nearby Vendors or event operations.\u003c\/p\u003e\n\u003cp\u003eThe Organizer reserves the right to require reasonable adjustments to any display that creates safety concerns or disrupts \u003cstrong\u003eTCG Village #7\u003c\/strong\u003e.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch2\u003e7. Permitted Merchandise\u003c\/h2\u003e\n\u003cp\u003eVendors may sell only merchandise that was disclosed during the application process or otherwise approved by the Organizer.\u003c\/p\u003e\n\u003cp\u003eAll merchandise must be authentic, legally obtained, and offered for sale in compliance with applicable laws.\u003c\/p\u003e\n\u003cp\u003eThe sale or display of counterfeit, unauthorized, illegal, unsafe, offensive, or prohibited merchandise is strictly prohibited.\u003c\/p\u003e\n\u003cp\u003eThe Organizer reserves the right to require the immediate removal of any product that is determined to violate these standards or is otherwise inconsistent with the family-friendly nature of \u003cstrong\u003eTCG Village #7\u003c\/strong\u003e.\u003c\/p\u003e\n\u003cp\u003eThe Vendor is solely responsible for ensuring they have the legal authority to display and sell all merchandise offered during \u003cstrong\u003eTCG Village #7\u003c\/strong\u003e.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch2\u003e8. Marketing Expectations\u003c\/h2\u003e\n\u003cp\u003eThe success of \u003cstrong\u003eTCG Village #7\u003c\/strong\u003e grows because participating businesses help spread the word.\u003c\/p\u003e\n\u003cp\u003eEach Vendor agrees to:\u003c\/p\u003e\n\u003cul\u003e\n\u003cli\u003e\n\u003cp\u003eSubmit a high-resolution version of their business logo after acceptance.\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003ePublish at least \u003cstrong\u003ethree (3)\u003c\/strong\u003e original social media posts and\/or stories promoting their participation in \u003cstrong\u003eTCG Village #7\u003c\/strong\u003e.\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eTag \u003cstrong\u003e@tcgvillageri\u003c\/strong\u003e and \u003cstrong\u003e@el_cardboard\u003c\/strong\u003e whenever possible.\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eShare the official event flyer at least \u003cstrong\u003ethree (3)\u003c\/strong\u003e times before \u003cstrong\u003eTCG Village #7\u003c\/strong\u003e.\u003c\/p\u003e\n\u003c\/li\u003e\n\u003c\/ul\u003e\n\u003cp\u003eParticipating Vendors may also be featured in event marketing before, during, and after \u003cstrong\u003eTCG Village #7\u003c\/strong\u003e. By participating, the Vendor grants the Organizer permission to use the Vendor's business name, logo, photographs, booth images, merchandise, and promotional materials for these promotional purposes without additional compensation.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch2\u003e9. Professional Conduct\u003c\/h2\u003e\n\u003cp\u003eThe Vendor agrees to conduct themselves, their employees, contractors, volunteers, and representatives in a professional, respectful, and welcoming manner throughout \u003cstrong\u003eTCG Village #7\u003c\/strong\u003e.\u003c\/p\u003e\n\u003cp\u003eHarassment, discrimination, unsafe or disorderly behavior, illegal activity, intoxication, theft, counterfeit sales, or any conduct that negatively impacts \u003cstrong\u003eTCG Village #7\u003c\/strong\u003e, its attendees, vendors, staff, or reputation may result in immediate removal from \u003cstrong\u003eTCG Village #7\u003c\/strong\u003e without refund.\u003c\/p\u003e\n\u003cp\u003eThe Organizer reserves the right to remove any Vendor whose conduct is determined to be detrimental to the safety, operation, or overall experience of \u003cstrong\u003eTCG Village #7\u003c\/strong\u003e.\u003c\/p\u003e\n\u003cp\u003eRemoval from \u003cstrong\u003eTCG Village #7\u003c\/strong\u003e does not limit any additional legal remedies available to the Organizer.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch2\u003e10. Vendor Fees, Cancellations \u0026amp; Refunds\u003c\/h2\u003e\n\u003cp\u003eVendor space is confirmed only after payment has been received.\u003c\/p\u003e\n\u003cp\u003eUnless otherwise stated in writing:\u003c\/p\u003e\n\u003cul\u003e\n\u003cli\u003e\n\u003cp\u003eVendor fees are non-refundable.\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eVendor fees are non-transferable.\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eVendor spaces may not be sold or reassigned without the Organizer's written approval.\u003c\/p\u003e\n\u003c\/li\u003e\n\u003c\/ul\u003e\n\u003cp\u003eIf the Organizer cancels \u003cstrong\u003eTCG Village #7\u003c\/strong\u003e before it begins for reasons within its control, the Vendor may receive either:\u003c\/p\u003e\n\u003cul\u003e\n\u003cli\u003e\n\u003cp\u003eA full refund; or\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eCredit toward a future TCG Village event, at the Organizer's discretion.\u003c\/p\u003e\n\u003c\/li\u003e\n\u003c\/ul\u003e\n\u003cp\u003eNo refunds will be issued for weather conditions, low attendance, personal scheduling conflicts, transportation issues, equipment failure, illness, or any other circumstances beyond the Organizer's reasonable control.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch2\u003e11. Insurance \u0026amp; Liability\u003c\/h2\u003e\n\u003cp\u003eThe Vendor is responsible for maintaining appropriate insurance coverage for their business, employees, merchandise, equipment, and operations.\u003c\/p\u003e\n\u003cp\u003eThe Organizer does not provide insurance coverage for Vendors.\u003c\/p\u003e\n\u003cp\u003eParticipation in \u003cstrong\u003eTCG Village #7\u003c\/strong\u003e is entirely at the Vendor's own risk.\u003c\/p\u003e\n\u003cp\u003eThe Organizer shall not be liable for any theft, loss, damage, vandalism, personal injury, property damage, equipment failure, utility interruption, lost profits, or other business interruption arising from or related to the Vendor's participation in \u003cstrong\u003eTCG Village #7\u003c\/strong\u003e, except to the extent caused by the Organizer's gross negligence or willful misconduct.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch2\u003e12. Post-Event Reporting\u003c\/h2\u003e\n\u003cp\u003eWithin \u003cstrong\u003eseven (7) days\u003c\/strong\u003e following \u003cstrong\u003eTCG Village #7\u003c\/strong\u003e, each Vendor agrees to submit a brief post-event report if requested by the Organizer.\u003c\/p\u003e\n\u003cp\u003eThe report may include:\u003c\/p\u003e\n\u003cul\u003e\n\u003cli\u003e\n\u003cp\u003eOverall event experience\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eFeedback on event operations\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eSuggestions for future TCG Village events\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eAny notable successes, challenges, or observations from the event\u003c\/p\u003e\n\u003c\/li\u003e\n\u003c\/ul\u003e\n\u003cp\u003eThe Organizer will use this information to improve future events and better support participating Vendors. Responses will be treated confidentially and will not be publicly shared without the Vendor's permission.\u003c\/p\u003e\n\u003cp\u003eFailure to provide requested post-event reporting may be considered when evaluating future vendor applications.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch2\u003e13. Indemnification\u003c\/h2\u003e\n\u003cp\u003eThe Vendor agrees to defend, indemnify, and hold harmless \u003cstrong\u003ePaper Gold Trading Cards LLC d\/b\/a El Cardboard Trading Card Lounge\u003c\/strong\u003e, together with its owners, officers, employees, volunteers, contractors, agents, sponsors, venue partners, and representatives, from and against any claims, liabilities, damages, losses, expenses, judgments, settlements, or reasonable attorneys' fees arising out of or related to:\u003c\/p\u003e\n\u003cul\u003e\n\u003cli\u003e\n\u003cp\u003eThe Vendor's participation in \u003cstrong\u003eTCG Village #7\u003c\/strong\u003e;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eThe acts or omissions of the Vendor or its employees, contractors, volunteers, or representatives;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eMerchandise, products, demonstrations, displays, or business operations;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eViolations of applicable laws, permits, licenses, or regulations;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eDamage to property; or\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eInjury, illness, or death resulting from the Vendor's operations.\u003c\/p\u003e\n\u003c\/li\u003e\n\u003c\/ul\u003e\n\u003cp\u003eThis obligation survives the conclusion of \u003cstrong\u003eTCG Village #7\u003c\/strong\u003e.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch2\u003e14. Force Majeure\u003c\/h2\u003e\n\u003cp\u003eThe Organizer is not responsible for delays, changes, or cancellation of \u003cstrong\u003eTCG Village #7\u003c\/strong\u003e caused by circumstances beyond its reasonable control, including severe weather, natural disasters, government actions, public health emergencies, utility failures, venue issues, or other unforeseen events.\u003c\/p\u003e\n\u003cp\u003eIf such circumstances occur, the Organizer may postpone, modify, relocate, or cancel \u003cstrong\u003eTCG Village #7\u003c\/strong\u003e as necessary.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch2\u003e15. Default \u0026amp; Remedies\u003c\/h2\u003e\n\u003cp\u003eFailure to comply with this Agreement may result in corrective action, removal from \u003cstrong\u003eTCG Village #7\u003c\/strong\u003e, denial of future participation, or any other remedy available under applicable law.\u003c\/p\u003e\n\u003cp\u003eThe Organizer reserves the right to enforce this Agreement whenever necessary to protect the safety, integrity, reputation, and successful operation of \u003cstrong\u003eTCG Village #7\u003c\/strong\u003e.\u003c\/p\u003e\n\u003cp\u003eNo delay or failure by the Organizer to enforce any provision of this Agreement shall be deemed a waiver of that provision or any other rights under this Agreement.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch2\u003e16. Governing Law \u0026amp; Dispute Resolution\u003c\/h2\u003e\n\u003cp\u003eThis Agreement shall be governed by and interpreted in accordance with the laws of the \u003cstrong\u003eState of Rhode Island\u003c\/strong\u003e, without regard to its conflict of law principles.\u003c\/p\u003e\n\u003cp\u003eThe parties agree to make a good-faith effort to resolve any dispute through informal discussion before pursuing formal legal action.\u003c\/p\u003e\n\u003cp\u003eIf a dispute cannot be resolved informally, it shall be submitted to \u003cstrong\u003ebinding arbitration\u003c\/strong\u003e in the State of Rhode Island in accordance with the Commercial Arbitration Rules of the \u003cstrong\u003eAmerican Arbitration Association\u003c\/strong\u003e, unless both parties mutually agree in writing to another method of resolution.\u003c\/p\u003e\n\u003cp\u003eThe arbitrator's decision shall be final and binding upon both parties.\u003c\/p\u003e\n\u003cp\u003eEach party shall bear its own legal fees and costs unless the arbitrator determines otherwise or applicable law requires a different allocation.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch2\u003e17. Entire Agreement\u003c\/h2\u003e\n\u003cp\u003eThis Agreement represents the complete understanding between the Organizer and the Vendor regarding participation in \u003cstrong\u003eTCG Village #7\u003c\/strong\u003e.\u003c\/p\u003e\n\u003cp\u003eIt supersedes all prior discussions, negotiations, emails, conversations, or understandings relating to the subject matter of this Agreement.\u003c\/p\u003e\n\u003cp\u003eAny modification or waiver of this Agreement must be made in writing by the Organizer.\u003c\/p\u003e\n\u003cp\u003eIf any provision of this Agreement is determined to be unenforceable, the remaining provisions shall remain in full force and effect.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch2\u003e18.
