    Welcome

    Thank you for your interest in participating in TCG Village #7.

    Our goal is to create an exciting, family-friendly event where local businesses, creators, and the trading card community can come together in a safe, welcoming, and professional environment.

    This Agreement establishes the terms, responsibilities, and expectations governing participation in TCG Village #7.

    By submitting payment for a vendor space, the Vendor acknowledges that they have read, understood, and agree to all terms contained in this Agreement.


    1. Vendor Space

    Vendor space is assigned by the Organizer based on the event layout, operational needs, and overall event experience.

    Indoor Food Vendors

    • Minimum booth space: 12 ft × 5 ft

    Food Trucks

    • Approximately 10 ft × 20 ft

    Reasonable placement requests are welcome and will be accommodated whenever possible but cannot be guaranteed.

    Any request for additional space must be approved before payment is submitted and may require an additional fee.

    Booth Sharing

    Vendor spaces are intended for use by a single approved Vendor.

    If a Vendor wishes to share their space or divide the cost of a booth with another business or vendor, prior written approval from the Organizer is required. Each participating business must be identified during the application process and approved before TCG Village #7.

    The Organizer reserves the right to approve or deny booth-sharing requests at its sole discretion based on event layout, vendor mix, and operational considerations.

    Any unapproved sharing, subleasing, transferring, or reassignment of vendor space may result in removal from TCG Village #7 without refund.


    2. Event Hours

    Food vendors may participate in one or more designated food service shifts:

    ALL DAY

    9:00 AM – 8:00 PM

    Breakfast

    9:00 AM – 12:00 PM

    Lunch

    1:00 PM – 5:00 PM

    Everything but Breakfast

    11:00 AM - 8:00 PM

    Evening Only

    4:00 PM – 8:00 PM

    Vendors are expected to remain open and ready to serve throughout the shifts they have committed to.


    3. Setup & Breakdown

    Specific arrival, setup, and breakdown instructions will be provided before TCG Village #7.

    Vendors are responsible for arriving on time, unloading efficiently, and completing setup before serving begins.

    Early breakdown is not permitted unless approved by the Organizer or required due to safety concerns.

    At the conclusion of TCG Village #7, Vendors are responsible for removing all equipment, merchandise, trash, grease, and personal property from their assigned space.

    Each Vendor is expected to leave their space clean and free of debris.


    4. Equipment & Utilities

    Vendors are responsible for providing all equipment necessary to operate their business, including tables, tents (if applicable), displays, cooking equipment, extension cords, lighting, generators (when approved), and any other required supplies.

    Electrical service may be available for indoor vendors but is not guaranteed unless confirmed in writing before TCG Village #7.

    Food trucks requiring electrical service must disclose their power requirements before approval.

    The Organizer is not responsible for equipment failure, power interruptions, internet availability, or utility limitations.


    5. Food Safety & Compliance

    Each Vendor is solely responsible for complying with all applicable federal, state, and local laws, regulations, permits, licenses, inspections, and health requirements.

    Before operating at TCG Village #7, each Vendor must obtain and maintain all permits, licenses, and approvals required to legally prepare, transport, and sell food in the State of Rhode Island and the City of Pawtucket. The Vendor is solely responsible for determining which permits are required and for ensuring they remain valid throughout TCG Village #7.

    This includes, but is not limited to:

    • Rhode Island Department of Health requirements

    • Local fire and safety regulations

    • Food handling and sanitation standards

    • Required business licenses and permits

    The Organizer may require copies of applicable permits or licenses before confirming participation or at any time before or during TCG Village #7.

    The Vendor is responsible for maintaining safe food temperatures, proper sanitation practices, and safe food preparation procedures throughout TCG Village #7.

    Failure to comply with applicable laws or safety requirements may result in immediate removal from TCG Village #7 without refund.


    6. Displays & Booth Appearance

    Vendors are encouraged to present a clean, organized, and professional booth that enhances the overall experience of TCG Village #7.

    Displays must remain within the assigned vendor space unless otherwise approved.

    Booths may not obstruct walkways, emergency exits, neighboring vendors, or common areas.

    Music, lighting, demonstrations, and promotional activities must remain at a reasonable volume and may not interfere with nearby vendors or event operations.

    The Organizer reserves the right to require reasonable adjustments to any display that creates safety concerns or disrupts TCG Village #7.


    7. Marketing Expectations

    The success of TCG Village #7 grows because participating businesses help spread the word.

    Each Vendor agrees to:

    • Submit a high-resolution version of their business logo after acceptance.

    • Publish two (2) original social media posts and/or stories promoting their participation in TCG Village #7.

    • Tag @tcgvillageri and @el_cardboard whenever possible.

    Participating Vendors may also be featured in event marketing before, during, and after TCG Village #7. By participating, the Vendor grants the Organizer permission to use the Vendor's business name, logo, photographs, menu items, and promotional materials for these promotional purposes without additional compensation.


    8. Professional Conduct

    The Vendor agrees to conduct themselves, their employees, contractors, volunteers, and representatives in a professional, respectful, and welcoming manner throughout TCG Village #7.

    Harassment, discrimination, unsafe or disorderly behavior, illegal activity, intoxication, or any conduct that negatively impacts TCG Village #7, its attendees, vendors, staff, or reputation may result in immediate removal from TCG Village #7 without refund.

    The Organizer reserves the right to remove any Vendor whose conduct is determined to be detrimental to the safety, operation, or overall experience of TCG Village #7.

    Removal from TCG Village #7 does not limit any additional legal remedies available to the Organizer.


    9. Vendor Fees, Cancellations & Refunds

    Vendor space is confirmed only after payment has been received.

    Unless otherwise stated in writing:

    • Vendor fees are non-refundable.

    • Vendor fees are non-transferable.

    • Vendor spaces may not be sold or reassigned.

    If the Organizer cancels TCG Village #7 before it begins for reasons within its control, the Vendor may receive either:

    • A full refund; or

    • Credit toward a future TCG Village event, at the Organizer's discretion.

    No refunds will be issued for weather conditions, low attendance, personal scheduling conflicts, transportation issues, equipment failure, illness, or any other circumstances beyond the Organizer's reasonable control.


    10. Insurance & Liability

    The Vendor is responsible for maintaining appropriate insurance coverage for their business, employees, products, vehicles, equipment, and operations.

    The Organizer does not provide insurance coverage for Vendors.

    Participation in TCG Village #7 is entirely at the Vendor's own risk.

    The Organizer shall not be liable for any theft, loss, damage, spoilage, vandalism, personal injury, property damage, equipment failure, utility interruption, lost profits, or other business interruption arising from or related to the Vendor's participation in TCG Village #7, except to the extent caused by the Organizer's gross negligence or willful misconduct.


    11. Post-Event Reporting

    Within seven (7) days following TCG Village #7, each Vendor agrees to submit a brief post-event report if requested by the Organizer.

    The report may include:

    • Overall event experience

    • Feedback on event operations

    • Suggestions for future TCG Village events

    • Any notable successes, challenges, or observations from the event

    The Organizer will use this information to improve future events and better support participating Vendors. Responses will be treated confidentially and will not be publicly shared without the Vendor's permission.

    Failure to provide requested post-event reporting may be considered when evaluating future vendor applications.


    12. Indemnification

    The Vendor agrees to defend, indemnify, and hold harmless Paper Gold Trading Cards LLC d/b/a El Cardboard Trading Card Lounge, together with its owners, officers, employees, volunteers, contractors, agents, sponsors, venue partners, and representatives, from and against any claims, liabilities, damages, losses, expenses, judgments, settlements, or reasonable attorneys' fees arising out of or related to:

    • The Vendor's participation in TCG Village #7;

    • The acts or omissions of the Vendor or its employees, contractors, volunteers, or representatives;

    • Food preparation, handling, storage, or service;

    • Violations of applicable laws, permits, licenses, or regulations;

    • Damage to property; or

    • Injury, illness, or death resulting from the Vendor's operations.

    This obligation survives the conclusion of TCG Village #7.


    13. Force Majeure

    The Organizer is not responsible for delays, changes, or cancellation of TCG Village #7 caused by circumstances beyond its reasonable control, including severe weather, natural disasters, government actions, public health emergencies, utility failures, venue issues, or other unforeseen events.

    If such circumstances occur, the Organizer may postpone, modify, relocate, or cancel TCG Village #7 as necessary.


    14. Default & Remedies

    Failure to comply with this Agreement may result in corrective action, removal from TCG Village #7, denial of future participation, or any other remedy available under applicable law.

    The Organizer reserves the right to enforce this Agreement whenever necessary to protect the safety, integrity, reputation, and successful operation of TCG Village #7.

    No delay or failure by the Organizer to enforce any provision of this Agreement shall be deemed a waiver of that provision or any other rights under this Agreement.


    15. Governing Law & Dispute Resolution

    This Agreement shall be governed by and interpreted in accordance with the laws of the State of Rhode Island, without regard to its conflict of law principles.

    The parties agree to make a good-faith effort to resolve any dispute through informal discussion before pursuing formal legal action.

    If a dispute cannot be resolved informally, it shall be submitted to binding arbitration in the State of Rhode Island in accordance with the Commercial Arbitration Rules of the American Arbitration Association, unless both parties mutually agree in writing to another method of resolution.

    The arbitrator's decision shall be final and binding upon both parties.

    Each party shall bear its own legal fees and costs unless the arbitrator determines otherwise or applicable law requires a different allocation.


    16. Entire Agreement

    This Agreement represents the complete understanding between the Organizer and the Vendor regarding participation in TCG Village #7.

    It supersedes all prior discussions, negotiations, emails, conversations, or understandings relating to the subject matter of this Agreement.

    Any modification or waiver of this Agreement must be made in writing by the Organizer.

    If any provision of this Agreement is determined to be unenforceable, the remaining provisions shall remain in full force and effect.


    17. Acceptance of Agreement

    Submission of payment for a vendor space constitutes the Vendor's acknowledgment that they have read, understood, and agree to be bound by this Agreement.

    Payment serves as the Vendor's electronic acceptance of this Agreement and has the same legal effect as a signed written contract.

    The Vendor further represents that they have the legal authority to enter into this Agreement on behalf of themselves and, if applicable, the business they represent.
